When ordering services and using software at nps.today ApS, nps.today’s customer (the “Customer”) accepts these business conditions.
1.1 The service
nps.today has developed a system that easily measures loyalty among customers, employees, members, and other stakeholders using the measurement method net promoter score (“NPS”).
1.2 Change to business conditions
nps.today is at any time entitled to change the business conditions with a notice of one month. When renewing the customer’s subscription, the business conditions that apply at the time of renewal apply. It is the customer’s responsibility at all times to keep up to date with the applicable business conditions on nps.today’s website.
1.3 Transfer
The customer may not, without the prior written consent of nps.today, transfer all or part of the obligations or rights to third parties. nps.today is entitled to freely transfer its obligations and rights to third parties, and to freely use subcontractors and other business partners.
2.1 Website and software
All rights to all material contained on nps.today’s website, software and other matters relating to the nps.today developed system belong to nps.today or nps.today’s suppliers. Among other, this applies to source codes, design, texts, functionality, and overall impression. The customer has no rights to such material unless stated in these business conditions. The customer also has no rights to any further developments that may be made in collaboration with the customer, as these must automatically belong to nps.today.
2.2 Right of use
By using nps.today’s website, software and other matters relating to the nps.today developed NPS system, the customer only obtains a right of use, which is valid for the agreed subscription period.
2.3 Data collection
To create the optimal user experience on the platform, nps.today continuously collects information about the customer’s data and usage behaviour when the customer uses the nps.today website, software or products and apps accessed via nps.today’s platform. This data collection is anonymous and is used for the purpose of optimizing services and layout of the software, including statistical analysis of the collected data. 2.4 Update
In case of updating of software or equipment, nps.today has the right to close the access for a limited period, which will typically be when as few customers as possible will be affected by it. Such closure does not entitle the customer to compensation.
3.1 Price and VAT
nps.today reserves the right to continuously regulate its prices in accordance with the Danish net price index, with a minimum increase of 2% annually, which applies to the upcoming subscription period after regulation. Any extraordinary price adjustments are always notified with at least 30 days notice. All prices are stated without VAT.
3.2 Payment conditions
The payment conditions are net 14 days after nps.today has sent the invoice. If payment is not included by the stipulated due date, this could lead to the accrual of additional recovery costs, including interest and reminder fees. In the event of late payment, default interest will accrue from the due date at 2% per started month. nps.today has the right to close the customer’s access to software if payment is not made on time.
3.3 Subscription
If customers choose to upgrade to another subscription, the customer pays in advance for an initial subscription period of 12 months.
3.4 Subscription period
Unless the customer terminates his subscription in writing with one month’s notice until the end of a subscription period, the customer’s subscription is automatically renewed for a new 12-month period at the end of each subscription period. The renewal takes place at the prices and on the basis of the business conditions that apply at the time of renewal.
In the event of the customer’s breach of the business conditions or the cooperation in general, nps.today is entitled to terminate or cancel the subscription immediately.
3.5 Customer identity
It is the customer’s responsibility to inform nps.today ApS when changing; address, telephone number, email address, and other information that may be associated with the account and which is relevant for payment and more.
3.6 SMS survey conditions
nps.today reserves the right to verify and collate actual SMS usage with the contracted number of SMS and the tiers allocation. This could occur monthly or at quarterly intervals. Current SMS tier levels can be found here https://nps.today/sms-tiers
3.6.1 SMS pricing
nps.today use of SMS surveys is based on contracted sub processors, where prices are based on local or global telco providers fluctuating costs as well as possible volume commitments. Costs can also be impacted by changes to currency exchange rates. nps.today reserves the right to amend our prices or change the composition of each SMS tier level.
3.6.2 SMS overages
In the event where a customer is sending out more SMS surveys or at higher cost basis (tiers) than contracted, overages will apply. nps.today will invoice the customer such relevant overage cost. In case of overage, the customer can order additional usage in packages with volume discount.
3.6.3 SMS limitation
One SMS body text is maximum 160 characters (GSM-7 standard). If characters in body text include non-GSM-7 characters, like emojis, then one SMS is limited to 70 characters (UCS-2 standard). An SMS with more than 160 (GSM-7) characters or more than 70 (UCS-2) characters represents multiple segments. The nps.today price per SMS, is in effect the price per segment.
3.7 Currency
If the agreement is based on a currency other than Danish kroner (DKK), nps.today reserves the right to adjust the price according to possible exchange rate fluctuations.
3.8 Other
Additional costs to the customer (installation, support, training) are not included in the price.
4.1 Limitation of liability
Access to nps.today’s software is constantly evolving and access to the software is provided as is and without warranty. nps.today reserves the right to make programming errors and server crashes.
nps.today cannot be held liable for direct or indirect losses incurred in connection with the use of nps.today’s software. We are also not responsible for hacker attacks, viruses, or any other form of force majeure. It is the customer’s responsibility to take local backup according to their own needs.
nps.today disclaims product liability to the fullest extent possible.
Liability for nps.today cannot exceed the invoiced amounts for the last 12 months. Neither the customer or nps.today shall be held liable to the other party in respect of matters beyond the control of the parties.

All data entered into nps.today’s software is fully confidential and without access to 3rd party. The knowledge that the parties gain about each other as a result of this cooperation must be treated with complete confidentiality.
The parties and their employees are obliged to keep secret all information and acquired knowledge about the other party or other matters that the parties may become aware of in connection with the conclusion of the agreement. The parties’ duty of confidentiality is unlimited in time.
The provisions of the agreement are subject to Danish law. Disputes must be decided by the Copenhagen City Court as the first instance.
